Terms of Service

1. Acceptance of Terms

By accessing and using StayAPI's services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

In these Terms, "StayAPI", "we", "us" and "our" refer to Botster PTE LTD, a company incorporated in Singapore, acting through its StayAPI product.

The person or entity that accesses or uses the Service is referred to as "Customer" or "you".

StayAPI reserves the right to update these Terms at any time. Continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Service Description

StayAPI provides on-demand access to hospitality and hotel data from third-party sources. The "Service" includes:

  • Access to hotel information, reviews, and pricing data
  • REST API endpoints for various hospitality platforms
  • StayAPI's MCP server and agent-facing tools
  • Technical documentation and support
  • Dashboard for monitoring usage and managing API keys

The Service queries third-party sources on demand and returns hospitality data; it is not the sale of a redistributable database of source content. The same account usage allowances and request rate limits apply whether Customer accesses data through the REST API, MCP server, or agent-facing tools. The Service is intended for informational and analytical purposes only. We do not control third-party sources and cannot guarantee their continued availability, accuracy, or completeness. We do not guarantee that data sources will permit automated collection indefinitely, and continued availability may depend on third-party policies or technical changes.

2.1 Collection Practices

In its standard collection practices, StayAPI queries information that is publicly accessible without a login. StayAPI does not circumvent paywalls or other paid access controls. If separately agreed in writing, StayAPI may access an authenticated customer account using customer-supplied credentials under Section 4.6. This describes StayAPI's current standard practices and is not a representation or warranty that a third-party source authorises collection or continued access.

3. Account Registration

To use the Service, you must:

  • Register for an account with accurate and complete information
  • Be at least 18 years old or have legal capacity to enter into contracts
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

3.1 Service and Optional Marketing Emails

We send service emails needed to operate your account, such as confirmation, security, billing, quota, and material service notices. These messages are separate from marketing communications.

When you create an account, you may separately choose to receive a limited onboarding email series and related product communications. That choice is optional and is not required to create or use an account. You may withdraw consent at any time through the unsubscribe link included in every marketing email or by contacting us. Agreeing to these Terms does not itself constitute consent to marketing emails.

4. API Usage and Restrictions

4.1 Permitted Use

You may use the API solely for lawful purposes and in accordance with these Terms. You agree to use the API in compliance with all applicable laws and regulations.

4.2 Output Data and Restrictions

"Output Data" means results delivered to Customer through the Service. Subject to payment of applicable fees (if any) and compliance with these Terms, StayAPI grants Customer a worldwide, non-exclusive, non-transferable licence, limited to the rights StayAPI holds, to store, process, analyse, and incorporate Output Data into Customer's own products and services, including Customer's product APIs, and to display Output Data to Customer's end users. Customer may provide access through trusted integrations and permit its employees, contractors, and processors to use Output Data on Customer's behalf in accordance with these Terms, and remains responsible for their use.

As between StayAPI and Customer, Customer may create, own, and commercialise its original analytics, aggregations, statistics, models, and other derived works based on Output Data. This does not transfer ownership of underlying source material, StayAPI's intellectual property, or third-party material.

Customer may not resell or redistribute raw Output Data as a standalone dataset or offer a data API whose principal purpose is to redistribute the underlying raw Output Data in a manner substantially similar to the Service. This restriction does not prohibit revenue-management, business-intelligence, analytics, or other customer-facing products and interfaces that incorporate Output Data as part of a broader product or service. Cosmetic reformatting, relabelling, or repackaging of raw Output Data does not make it a permitted derived work.

Output Data lawfully obtained and for which applicable fees for obtaining that Output Data have been paid and not refunded, or lawfully obtained without charge, and derived works based on that Output Data may continue to be used after cancellation or termination, subject to this Section 4.2, Section 4.3, applicable law, and third-party rights. StayAPI property IDs and cross-source mappings embedded in lawfully obtained Output Data may be used on the same terms. This continuing licence does not entitle Customer to further collection, access to the Service, support, updates, or new Output Data, and Customer need not pay further fees solely to retain the licence for historical Output Data.

Customer must not:

  • Exceed your plan's rate limits or attempt to circumvent usage restrictions
  • Disclose API keys or access credentials except to employees, contractors, processors, or trusted integrations that need them to act on Customer's behalf, are bound to protect them, and use them only for Customer; sell or resell credentials; or permit a third party to use them independently
  • Use the Service for any illegal, harmful, or malicious purposes
  • Reverse engineer, decompile, or attempt to extract source code from the Service software or interfaces
  • Create derivative works from the Service software, documentation, or interfaces, except that this restriction does not apply to Output Data or Customer's independently developed integrations and products
  • Use automated scraping, crawling, or harvesting beyond API limits
  • Interfere with or disrupt the Service or its infrastructure
  • Violate the rights of third parties, including privacy and intellectual property rights
  • Misrepresent your relationship with StayAPI

4.3 Third-Party Material

Output Data may include material owned or controlled by third parties and may be subject to applicable third-party rights or terms. StayAPI grants no licence to third-party material and makes no representation or warranty that Customer holds rights in that material or that its use will not infringe third-party rights. Customer is responsible for ensuring that its use of Output Data complies with applicable law and any applicable third-party terms.

4.4 Rate Limits

The Service may apply request rate limits that control how frequently requests may be made, as well as a monthly or other periodic usage allowance under Customer's plan. Requests that exceed an applicable request rate may be throttled or rejected. When a periodic allowance is exhausted, further requests may be unavailable until the allowance resets unless Customer adds credits through separately accepted purchase terms or has separately agreed overage terms in an Order Form. StayAPI will not impose automatic per-request overage charges unless Customer has separately agreed to them in an Order Form; any additional credits or agreed overage are charged at the rate Customer accepted at checkout or in the applicable Order Form.

4.5 API Changes

We may modify API endpoints, data sources, response formats, or supported platforms from time to time. We will use reasonable efforts to provide advance notice of breaking changes where practical. StayAPI is not liable for integration disruptions caused by necessary platform changes. Certain endpoints may be marked as beta or experimental and may change or be removed without notice.

4.6 Customer-Supplied Credentials

If separately agreed in writing, Customer may authorise StayAPI to use credentials for Customer's own third-party platform account. Customer represents that it has authority to grant that access and to permit StayAPI to access the account and its data for Customer. StayAPI will use those credentials and resulting data solely to provide the agreed Service to Customer and will not use or disclose them to provide services to other customers. Customer may revoke its authorisation, subject to any steps reasonably necessary to discontinue the authorised access. Customer's use of resulting Output Data remains subject to Sections 4.2 and 4.3 and any applicable source permissions.

5. Subscription Plans and Billing

5.1 Plans and Commercial Terms

StayAPI offerings may be purchased through self-service checkout or under a written commercial agreement tailored to Customer's requirements. For a self-service purchase, the features, usage allowances, pricing, billing frequency, and term shown at checkout apply. Features, usage allowances, service levels, pricing, billing frequency, and term length may also be set forth in an Order Form, Service Agreement, or other written commercial document executed between Customer and StayAPI (collectively, the "Order Form"). In the event of any conflict or inconsistency between these Terms and an executed Order Form, the Order Form shall control with respect to the subject matter of that engagement. StayAPI reserves the right to modify, introduce, or discontinue service offerings at any time; any such changes will not affect the commercial terms of an active Order Form during its then-current term.

5.2 Payment

  • Subscription fees are billed in advance on a monthly basis
  • All fees are subject to our Refund Policy (Section 5.4)
  • You authorize us to charge your payment method for all fees
  • Prices may change with 30 days notice

5.3 Cancellation

Subscriptions remain recurring until cancelled. You may cancel your subscription at any time, and cancellation takes effect at the end of the current billing period. Inactivity, non-use of the Service, and failure to exhaust available credits do not cancel a subscription or create a right to a refund, subject to Section 5.4 and any mandatory rights under applicable law.

5.4 Refund Policy

For Customer's first self-service subscription payment, StayAPI will provide a full refund if Customer requests it within 14 days after that payment and has consumed fewer than 25% of the credits included in the first billing period. Renewals, including early renewals, upgrades, prepaid top-up credits, negotiated Order Forms, and one-time bulk data deliveries are not covered by this standard refund policy unless an applicable checkout or Order Form expressly provides otherwise or mandatory law requires a refund.

This revised policy does not reduce refund rights applicable to payments made before this version of the Terms was published or any additional right stated at checkout, in an Order Form, or under applicable law.

Outside the standard policy, StayAPI may, in its sole discretion and upon request, offer a partial or full refund of no more than Customer's most recent monthly subscription payment. This goodwill option applies only to monthly subscription payments. Any exceptional refund is a one-time decision for that request, creates no entitlement to refunds for earlier periods, annual payments, future payments, or other fees, and does not amend this policy or constitute a waiver. 5.5 API Credits and Usage Limits

Each subscription plan includes a specific allocation of API request credits per billing period. These credits are non-transferable and expire at the end of each billing period. Unused credits do not roll over to subsequent billing periods.

At the start of each new billing period, your API credits are reset and replenished in accordance with your current subscription plan. There is no accumulation of credits across billing periods, and no compensation or credit is provided for unused requests.

Prepaid top-up credits purchased separately, where offered, do not expire at the end of a subscription billing period. All credits are non-transferable, have no cash value, and may be used only with the account for which they were issued. The non-expiry of top-up credits does not guarantee that the Service or any particular endpoint will remain available indefinitely.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

You acknowledge that data provided through the API may be subject to third-party terms and should be used in compliance with applicable laws.

6.1 Company Logo Usage

By registering for an account, you grant StayAPI permission to display your company's logo on our website and marketing materials. If you wish to have your company's logo removed, please contact us at info@stayapi.com.

6.2 Personal Data in Output Data

Output Data may contain personal information, including a reviewer's name and review content. Where Customer determines the purposes and means of processing personal data contained in Output Data, Customer acts as the controller of that processing and is responsible for establishing a lawful basis and ensuring its use and disclosure are permitted. Customer must not attempt to re-identify a reviewer whose identity is absent or obscured, or enrich personal information about an individual reviewer. Displaying a reviewer name supplied in Output Data does not by itself violate this restriction.

Each party remains responsible for its own obligations under applicable data protection law. Where StayAPI's processing of personal data on Customer's behalf requires a data processing agreement, the parties must enter into separate written data processing terms before that activity begins. These Terms do not require StayAPI to undertake custom processing on Customer's behalf.

7. Intellectual Property

StayAPI and its licensors retain all rights, title, and interest in the Service software, documentation, interfaces, and other intellectual property. StayAPI also owns the proprietary StayAPI property IDs and cross-source mappings that it creates. Customer may use those IDs and mappings when delivered as Output Data under the licence in Section 4.2. These Terms do not grant Customer any rights to use StayAPI's trademarks or other brand features.

StayAPI does not claim ownership of third-party source material, facts, third-party platform identifiers, or Customer's original analytics and other derived works described in Section 4.2.

Customer retains ownership of content and other materials it submits to the Service. Customer grants StayAPI a non-exclusive licence to use those materials only as needed to provide the Service to Customer.

8. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

StayAPI does not warrant that the Service will be uninterrupted, error-free, or completely secure. You use the Service at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAYAPI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall StayAPI's total liability exceed the amount paid by you to StayAPI in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless StayAPI, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or related to your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause or notice. Reasons for termination may include:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Actions that harm StayAPI or other users

Upon termination, your right to access the Service will immediately cease. Once an account is deleted, the account and its associated working data cannot be restored. Customer is responsible for keeping any needed copies and using any available export functions before account deletion. StayAPI does not provide post-deletion restoration or export and does not offer a 30-day recovery window.

StayAPI may retain limited records after account deletion where reasonably necessary to comply with legal or regulatory obligations, prevent fraud or abuse, enforce agreements, or honour unsubscribe requests. Those retained records do not form a restorable account archive. This does not limit any mandatory data-access or other data-protection rights under applicable law. Account deletion does not affect Customer's continuing licence under Section 4.2 for historical Output Data and derived works that Customer lawfully obtained and retained.

Sections that by their nature should survive termination (including but not limited to payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will continue in full force and effect.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.

Any disputes arising out of these Terms shall be finally resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules then in force, except where prohibited by law.

13. General Provisions

13.1 Entire Agreement

These Terms, together with any executed Order Form and any separately executed data processing agreement, constitute the entire agreement between Customer and StayAPI regarding the Service and supersede all prior agreements concerning that subject matter.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Assignment

You may not assign or transfer these Terms without our prior written consent. StayAPI may assign these Terms without restriction.

13.4 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

13.5 Confidentiality

Each party may receive non-public information that the other party identifies as confidential or that reasonably should be understood to be confidential ("Confidential Information"). During the agreement and for three years after it ends, the receiving party may use Confidential Information only to perform or exercise its rights under the parties' agreement and may disclose it only to employees, contractors, professional advisers, and service providers who need to know it for that purpose and are bound by confidentiality obligations. Any mandatory protection that applicable law affords to trade secrets is unaffected.

Confidential Information does not include information that the receiving party can show was lawfully known without restriction, becomes public through no breach of obligation, is received lawfully from a third party without a duty of confidentiality, or is independently developed without use of the other party's Confidential Information. A party may disclose Confidential Information when required by law and, where legally permitted and reasonably practicable, will provide prior notice.

13.6 Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, except that this Section does not excuse Customer's obligation to pay amounts already due.

13.7 Notices

Legal notices under these Terms must be in writing. Notices to StayAPI may be sent to the email or mailing address in Section 14. Notices to Customer may be sent to the email or mailing address associated with Customer's account. A notice is effective when received.

13.8 Sanctions and Export Compliance

Customer must comply with applicable export control and economic sanctions laws when using the Service. Customer represents that it is not prohibited from using the Service under those laws and will not use the Service for a prohibited end use or make it available to a prohibited person or destination.
