1. Acceptance of Terms

By accessing and using StayAPI's services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

In these Terms, "StayAPI", "we", "us" and "our" refer to Botster PTE LTD, a company incorporated in Singapore, acting through its StayAPI product.

StayAPI reserves the right to update these Terms at any time. Continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Service Description

StayAPI provides an API service that delivers hospitality and hotel data ("API Service"). The Service includes:

• Access to hotel information, reviews, and pricing data
• API endpoints for various hospitality platforms
• Technical documentation and support
• Dashboard for monitoring usage and managing API keys

3. Account Registration

To use the Service, you must:

• Register for an account with accurate and complete information
• Be at least 18 years old or have legal capacity to enter into contracts
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. API Usage and Restrictions

4.1 Permitted Use

You may use the API solely for lawful purposes and in accordance with these Terms. You agree to use the API in compliance with all applicable laws and regulations.

4.2 Restrictions

You agree NOT to:

• Exceed your plan's rate limits or attempt to circumvent usage restrictions
• Share, sell, or redistribute API keys or access credentials
• Use the Service for any illegal, harmful, or malicious purposes
• Reverse engineer, decompile, or attempt to extract source code
• Create derivative works based on the Service
• Use automated scraping, crawling, or harvesting beyond API limits
• Interfere with or disrupt the Service or its infrastructure
• Violate the rights of third parties, including privacy and intellectual property rights
• Cache or store data for longer than 24 hours (except for specific ID mapping purposes)
• Build a competing product or service using StayAPI data
• Misrepresent your relationship with StayAPI

4.3 Third-Party Platform Compliance

The Service provides access to public data from third-party platforms. You acknowledge that you are solely responsible for complying with the Terms of Service, Robots.txt policies, and usage guidelines of these source platforms when using this data. StayAPI disclaims all liability for your use of the data in violation of third-party terms.

4.4 Rate Limits

API usage is subject to rate limits based on your subscription plan. Exceeding these limits may result in temporary suspension or additional charges.

5. Subscription Plans and Billing

5.1 Plans

StayAPI offers various subscription plans with different features and usage limits. Details of current plans are available on our website.

5.2 Payment

• Subscription fees are billed in advance on a monthly basis
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method for all fees
• Prices may change with 30 days notice

5.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

You acknowledge that data provided through the API may be subject to third-party terms and should be used in compliance with applicable laws.

7. Intellectual Property

StayAPI and its licensors retain all rights, title, and interest in the Service, including all intellectual property rights. These Terms do not grant you any rights to use StayAPI's trademarks or other brand features.

You retain ownership of any content you create using the Service, subject to our license to operate the Service.

8. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

StayAPI does not warrant that the Service will be uninterrupted, error-free, or completely secure. You use the Service at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAYAPI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall StayAPI's total liability exceed the amount paid by you to StayAPI in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless StayAPI, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or related to your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause or notice. Reasons for termination may include:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Actions that harm StayAPI or other users

Upon termination, your right to use the Service will immediately cease, and we may delete your account and data.

Sections that by their nature should survive termination (including but not limited to payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will continue in full force and effect.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.

Any disputes arising out of these Terms shall be finally resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules then in force, except where prohibited by law.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and StayAPI regarding the Service and supersede all prior agreements.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Assignment

You may not assign or transfer these Terms without our prior written consent. StayAPI may assign these Terms without restriction.

13.4 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
